THESE TERMS OF SERVICE ("TERMS") GOVERN YOUR ACCESS TO AND USE OF THE POLLZ AI PLATFORM AND SERVICES. PLEASE READ THEM CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING A BINDING ARBITRATION CLAUSE, CLASS ACTION WAIVER, AND LIMITATIONS OF LIABILITY. BY ACCESSING, REGISTERING FOR, OR USING POLLZ AI ("POLLZ", "WE", "OUR", "US", OR "THE COMPANY"), YOU ("USER", "YOU", OR "YOUR") ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND ALL OTHER INCORPORATED POLICIES. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE.
1. Definitions
- 1.1. "Platform" or "Service" refers collectively to the website https://pollz.ai, all associated subdomains, mobile applications, APIs, software, tools, data, documentation, and any related services provided by Pollz AI.
- 1.2. "Account" means a unique account created by you to access the Platform.
- 1.3. "Content" includes any data, text, graphics, images, audio, video, software, code, survey/poll questions, responses, comments, and other materials uploaded, posted, submitted, distributed, or otherwise made available through the Service.
- 1.4. "User Content" refers to all Content uploaded, created, generated, or provided by you or your respondents through the Platform, including but not limited to polls, surveys, questions, answers, and response data.
- 1.5. "Poll Creator" or "Creator" means a User who creates and administers polls, surveys, or forms via the Platform.
- 1.6. "Poll Respondent" or "Respondent" means an individual who interacts with or submits responses to a poll or survey created via the Platform.
- 1.7. "Subscription Plan" refers to the tiered pricing plans (Free, Pro, Business, Enterprise) offering varying levels of features and usage limits.
- 1.8. "Third-Party Services" means any services, software, applications, or websites not provided by Pollz that integrate with or are linked to from the Platform.
2. Eligibility & Account Registration
- 2.1. Eligibility: You must be at least 18 years of age and possess the legal capacity and authority to enter into a binding contract to use the Service. By using the Service, you represent and warrant you meet these requirements.
- 2.2. Account Responsibility: You are solely responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activities that occur under your account; and (c) ensuring your account information is accurate, current, and complete. You must immediately notify Pollz of any unauthorized use or security breach. Pollz is not liable for any loss or damage arising from your failure to comply with this section.
- 2.3. Account Verification: We reserve the right to suspend or terminate accounts that provide false, inaccurate, or incomplete information. We may require verification of your identity or organizational affiliation at any time.
3. Description of Service & License
- 3.1. Service: Pollz provides a software-as-a-service (SaaS) platform enabling Users to create, distribute, manage, and analyze polls, surveys, quizzes, and forms. Specific features vary by Subscription Plan.
- 3.2. License Grant: Subject to your compliance with these Terms and payment of applicable fees, Pollz grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes during the term of your subscription.
- 3.3. Restrictions: You shall not, and shall not permit others to: (a) license, sell, rent, lease, transfer, assign, distribute, host, or commercially exploit the Service; (b) modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Service; (c) access the Service to build a competing product or service; (d) use the Service to store or transmit infringing, libelous, or unlawful material, or to store or transmit material in violation of third-party rights; (e) use any "deep-link", "page-scrape", "robot", "spider", or other automatic device to access the Service for any purpose; (f) interfere with or disrupt the integrity or performance of the Service; (g) attempt to gain unauthorized access to the Service or its related systems; or (h) use the Service for any illegal or unauthorized purpose.
4. User Content & Responsibilities
- 4.1. Ownership of User Content: As between you and Pollz, you retain all right, title, and interest in and to your User Content. You are solely and entirely responsible for all User Content you submit.
- 4.2. License to Pollz: To operate and provide the Service, you grant Pollz a worldwide, non-exclusive, royalty-free, sublicensable (through multiple tiers), and transferable license to use, reproduce, distribute, display, perform, host, store, modify, and adapt your User Content solely for the purpose of providing, improving, securing, and promoting the Service. This license continues for the duration your User Content is hosted on our Platform and for a reasonable period thereafter for backup, archival, and legal compliance purposes.
- 4.3. Your Representations and Warranties: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to all User Content you submit; that such User Content does not and will not: (i) infringe, misappropriate, or violate any third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property or proprietary rights; (ii) violate any applicable law, regulation, or rule; (iii) promote discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (iv) be libelous, defamatory, obscene, pornographic, or invasive of another's privacy; (v) contain viruses, malware, or other malicious code; (vi) constitute unsolicited or unauthorized advertising or promotional material; and (vii) impersonate any person or entity.
- 4.4. Creator's Legal Responsibility for Respondents: You, as a Poll Creator, are solely responsible as the Data Controller for all data collected from Respondents. You must: * Provide legally adequate privacy notices and obtain all necessary consents from Respondents before collecting any personal data. * Comply with all applicable data protection laws (e.g., GDPR, DPDPA, CCPA) in your jurisdiction and the jurisdiction of your Respondents. * Process Respondent data only for the lawful purposes disclosed to them. * Honor data subject rights requests (access, deletion, etc.) from your Respondents. * Indemnify and hold Pollz harmless from any claims, fines, or liabilities arising from your failure to comply with these obligations.
- 4.5. No Monitoring Obligation: Pollz does not pre-screen, monitor, or edit User Content. However, we reserve the unconditional right (but not the obligation) to remove or disable access to any User Content that, in our sole discretion, violates these Terms, is objectionable, or poses a risk to the Platform, other Users, or third parties. We may report illegal activity to law enforcement.
5. Intellectual Property
- 5.1. Pollz Property: The Service, including its "look and feel," design, layout, software, algorithms, code, graphics, text, logos, trademarks, service marks, and all modifications, improvements, and derivative works thereof, are the exclusive property of Pollz or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers any Pollz intellectual property to you.
- 5.2. Feedback: Any feedback, suggestions, or ideas you provide regarding the Service ("Feedback") is provided voluntarily. You grant Pollz a perpetual, irrevocable, worldwide, royalty-free license to use, modify, commercialize, and incorporate such Feedback into the Service without any obligation or compensation to you.
6. Subscription Plans & Payment
- 6.1. Plans: We offer both free and paid Subscription Plans. Features, usage limits (e.g., number of polls, responses, team members), and support levels are detailed on our Pricing Page.
- 6.2. Fees and Payment: Fees for paid plans are as stated on the Platform and are payable in advance, on a recurring (monthly/annual) basis. You authorize Pollz to charge your chosen payment method for all applicable fees, plus any applicable taxes. Fees are non-refundable except as expressly stated in our Refund Policy or required by law.
- 6.3. Price Changes: We may change our fees upon 30 days' prior notice. Your continued use of a paid plan after the fee change constitutes your agreement to pay the modified amount.
- 6.4. Automatic Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings before the renewal date. You are responsible for any failed payments which may result in suspension or termination of Service.
- 6.5. Taxes: You are responsible for paying all taxes, duties, and assessments associated with your use of the Service.
7. Term and Termination
- 7.1. Term: These Terms commence when you create an account or use the Service and continue until terminated.
- 7.2. Termination by You: You may terminate your Account at any time by using the account deletion function or contacting support.
- 7.3. Termination by Pollz: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms; (b) non-payment; (c) prolonged inactivity; (d) requests by law enforcement; (e) unexpected technical or security issues; or (e) if we discontinue the Service.
- 7.4. Effect of Termination: Upon termination: (a) your right to use the Service ceases immediately; (b) you will not be entitled to any refund of prepaid fees; and (c) all licenses granted herein will terminate. Sections 4, 5, 8, 9, 10, 11, 12, and 13 shall survive termination.
- 7.5. Data Retrieval Post-Termination: It is your sole responsibility to export your User Content prior to termination. We have no obligation to maintain or provide your User Content after termination and may, in our discretion, delete all associated data from our live systems within a commercially reasonable period, subject to our Privacy Policy.
8. Disclaimer & Limitation of Liability
- 8.1. DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLLZ EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. POLLZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
- 8.2. NO ADVICE OR RELIANCE: ANY ANALYTICS, REPORTS, OR INSIGHTS GENERATED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS OR ACTIONS YOU TAKE BASED ON SUCH INFORMATION. POLLZ SHALL HAVE NO LIABILITY FOR THE CONTENT, ACCURACY, OR LEGALITY OF ANY USER CONTENT, INCLUDING POLL RESULTS.
- 8.3. LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL POLLZ, ITS DIRECTORS, EMPLOYEES, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY USER CONTENT; (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
- 8.4. CAP ON LIABILITY: IN NO EVENT SHALL POLLZ'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID POLLZ, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION IS AN ESSENTIAL PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND POLLZ AND SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
- 8.5. EXCEPTIONS: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
You agree to defend, indemnify, and hold harmless Pollz, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to reasonable attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; (d) any User Content you submit; or (e) your failure to comply with applicable data protection laws as a Poll Creator. Pollz reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
10. Governing Law
- 10.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
- 10.2. Exclusive Jurisdiction: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
- 10.3. Informal Resolution First: Prior to initiating any formal proceeding, you agree to attempt to resolve the dispute informally by contacting us at admin@pollz.ai.
11. Modifications to Terms and Service
- 11.1. Modification of Terms: We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
- 11.2. Modification of Service: We may, at any time and without liability, modify, suspend, or discontinue any feature or functionality of the Service, or change the pricing structure, with or without notice.
12. General Provisions
- 12.1. Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by Pollz, constitute the entire agreement between you and Pollz concerning the Service and supersede all prior or contemporaneous communications.
- 12.2. Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- 12.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Pollz's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
- 12.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Pollz's prior written consent. Any attempt to assign without consent is void. Pollz may freely assign or transfer these Terms.
- 12.5. Force Majeure: Pollz shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
- 12.6. Notices: Notices to you may be provided via email or posted on the Platform. Notices to Pollz should be sent to admin@pollz.ai.
- 12.7. Relationship: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Pollz.
